Terms of Service
Clip Services Ltd — UK digital marketplace for independent African, Caribbean and Asian stores and market traders (Manchester, United Kingdom). Effective April 2026.
1. Agreement and acceptance
These Terms of Service (“Terms”) govern your access to and use of Clip Services (the “Platform”), whether as a customer placing orders or as an independent store owner or market trader listing products through the Platform. By using the Platform, creating an account, or placing or fulfilling an order, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
We may update these Terms from time to time. We will indicate the effective date at the top of this page. Continued use after changes constitutes acceptance of the revised Terms, except where applicable law requires a different process.
2. Nature of Clip Services
Clip Services is a marketplace platform only. It is not an employer of sellers and is not itself the seller of goods listed on the Platform. Clip Services provides technology (including payments facilitation, listings, and communications) to connect buyers with independent stores and traders who operate on their own account.
Contracts for the sale and supply of goods (or collection/delivery as offered by each seller) are between the customer and the seller, subject to these Terms and any order-specific terms communicated through the Platform. Clip Services may assist with payment collection (including via Stripe) and dispute handling as described below, but it is not a party to the sale of goods except as expressly stated.
3. Fees and pricing
Sellers set their own prices for products and any delivery or collection options. The Platform may charge a subscription and/or transaction fee as communicated when you list or at checkout. The total price shown at checkout includes applicable platform fees unless we clearly state otherwise.
All amounts are in pounds sterling (GBP) unless stated otherwise. Sellers are responsible for their own tax compliance (including VAT where applicable).
4. Payment terms
Unless we agree otherwise in writing, payment is required at checkout through methods we support (including card payment via Stripe). We may withhold confirmation or release of funds until cleared payment, as our processes require.
Failure to pay may result in cancellation of the order or suspension of access to the Platform, without prejudice to any other remedies.
5. Cancellations and refunds
Unless a different policy is stated for a specific listing or promotion, the following applies:
- More than 24 hours before the agreed dispatch or collection window: full refund of amounts paid for that order, minus a £2 administration fee.
- Less than 24 hours before the agreed dispatch or collection window: 50% refund of amounts paid for that order, where the seller has not yet incurred fulfilment costs.
- After the order has been dispatched or made ready for collection: no refund, except where these Terms, applicable law (including the Consumer Rights Act 2015), or a decision under our dispute process requires otherwise.
- Seller non-fulfilment: where a store owner or market trader fails to fulfil an accepted order without reasonable notice or excuse as we reasonably determine, the customer is entitled to a full refund of amounts paid for that order.
Refunds will be processed using the original payment method where practicable. Administration fees and partial refunds reflect costs and opportunity loss; we may vary this section for future orders by updating these Terms.
6. Seller obligations and status
Sellers using the Platform are independent businesses (sole traders or companies). Nothing in these Terms creates an employment, partnership, or agency relationship between Clip Services and any seller, or between Clip Services and any customer.
- Sellers set their own prices and availability and must comply with product descriptions, food safety, and trading standards applicable to their goods.
- Sellers must complete identity and business verification as we require before going live, and must maintain appropriate insurance (such as public liability or product liability) where applicable to their business.
- Conduct and enforcement: serious or repeated breaches of these Terms, customer complaints, or behaviour that harms the Platform or users may result in warnings, suspension, or removal. We may operate a strike policy for substantiated issues (for example, non-delivery, mis-selling, or repeated policy breaches). Appeals are determined at our reasonable discretion.
7. Disputes between users
If a dispute arises between a customer and a store owner or market trader regarding an order, you should first attempt to resolve it directly in good faith. Where that is not successful, you may contact us at the email below.
Clip Services Ltd (acting through a nominated representative) will seek to mediate the dispute by reviewing the order details, communications, and any evidence supplied. Following review, Clip Services may, at its sole discretion, propose or implement a resolution including partial or full refund, credit, or other commercially reasonable outcome. Our decision is not binding arbitration unless we expressly agree otherwise in writing, but we expect users to cooperate honestly with the process.
Nothing in this section prevents either party from pursuing rights under applicable law, including in the courts of England and Wales where jurisdiction applies.
8. Limitation of liability
To the fullest extent permitted by applicable law:
- Clip Services is not liable for the acts or omissions of sellers or customers, including negligence, misconduct, or failure to supply goods as described.
- We are not liable for loss or damage to property, personal injury, or consequential or indirect losses arising from transactions arranged through the Platform, except where such exclusion is prohibited by law.
- We do not guarantee the quality, fitness, or delivery time of any goods. Our role is to facilitate discovery, ordering, and payment where applicable, and to assist with dispute resolution as described in these Terms.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
Where we are liable despite the above, our total aggregate liability arising out of or in connection with the Platform and these Terms in any twelve-month period shall not exceed the platform fees actually retained by Clip Services from your transactions in that period, or £100, whichever is greater, except where the law requires otherwise.
9. Platform rules
Users must comply with the following rules. Breach may result in suspension or termination of access.
- No fee circumvention: You must not arrange off-platform payment or repeat orders outside the Platform for the purpose of bypassing Clip Services’ agreed fees where those fees apply. We may monitor patterns consistent with circumvention and take appropriate action.
- No harassment, abuse, or discrimination toward other users, staff, or the public in connection with use of the Platform.
- No illegal services or unlawful use of the Platform. Listings and requests must comply with the law of England and Wales and local requirements.
10. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Platform shall be governed by the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory rights you may have as a consumer under the law of your country of residence.
11. Operator and contact
The Platform is operated by Clip Services Ltd, a private limited company registered in England and Wales, based in Manchester, United Kingdom.
